That depends on what you mean by "healthy." To me, health is mental, physical, and emotional. While exercise and diet can certainly help one stay healthy in all three of those respects, having a good support system of family and friends, having a life that you enjoy and like, and having good genes to start with can go a long way, too.

I say that diet and exercise are 2nd and 3rd. You also need plenty of sleep, sunlight and fresh air. But most important is keeping from getting too stressed out. This can destroy your health quicker than anything and can make a sane person crazy.

A big part of remaining healthy..yes. Do not smoke or drink too much alcohol either.
Also, mental health is also important. Try to have a positive outlook in life and your physical health will come as well. I heard that stress can take a few years off your life due to the psychosomatic effect..so mental health is just as important as physical health.
