as you havent given much info,all i can say is
1. download it from the google earth site(not download.com)
2. when installing it remember to untick the boxes for google toolbars and homepage
3. try installing it in a different location if you can(not a external drive),and see how that goes
4. burn the download to disc and install it from your dvd-rom
it may just be you had a corrupt download package,like i said before go directly to the google site at http://earth.google.com/
you must have a decent graphic card to run it aswell....min req ati radeon 7000 series and above/ nvidia ge-force 2 mmx and above
256mb ram(min) pentium 3 processor 800mhz and above
it may run on a lower machine but you wont get smooth graphics

I could not get Google Earth to work even though I managed to install in in XP.
Seems the video card cannot cope with all the work and freezes the computer [well actually the display].
Others have told me it is the commonest problem with Google Earth. It needs massive video capability to work.

There are currently 2 versions on their web site. Version 3 and 4. Version 4 is in beta and may cause some problems. Try version 3.

I had this problem.
If you go to `Start>Programs>Google Earth'
There will be an option to `run' on DirectX mode.
Select and try that.
