Depends on if you want to be mates or talking about getting involved.
In both cases I think listening is very important. Treat her like a person; get to know her likes and dislikes; do things together as you gather from your conversations what she enjoys but be clear if you want to be just a mate or more.
IF your aim is to be more than mates then seek intimate sort of gathering with her. Going out to dinner all dressed up instead of casual lunch at the cheap cafe. Catching a show with just the two of you no other friends etc.

The same way you would be friendly with a guy. Be confident in yourself. Do not put such importance in her reaction. 90% of the time her reaction would be just what you hope for if you approach it right.
The less importance you put on how a girl will react the more success you will have.

depends what you mean by being freindly.
if you just want to be freinds than don't go out of your way for her.
let her know right away that your just freinds.
if you want her to be your girlfreind than you should be nice to her, you know flirt with her
