The main one is if your the one trying to sell your software is that they give you what you want like moneywise or close to it.Make sure you read the fine print some companies will just make you sign a contract that says they own the software and take your name off for credit and say they created it

if youre the buyer - make sure the software has been thoroughly tested before final payment and preferably have someone that doesnt drop off hte face of the earth when theres a problem
if youre selling/developing - get all the money you can!

Price per License. Also look at volume discounts. Set up and support are most important. Nothing worse than a price of software you don't understand and can't get help.
