gotta do 4 things:
1. Do some hardcore 2hr aerobic workout every other day -- this will help you drop overall bodyfat, especially if you work out before eating anything right after you get up in the morning
2. Lift some weights on off days to tone your body--if your body is building muscle it is not building fat is it? Muscle also burns calories, improves posture and helps you look better over all.
3. target your stomach, do various forms of crunches while you lift -- I usually do about 300 every other day
4. Get your diet straightened out -- eat lean proteins, vegetables and good (complex) carbs, make sure you're getting fiber and I find protein shakes after workouts help enormously. Stay away from fast food and junk food. Something like the south beach diet can be a good platform to start from. After a while, you will actually eat less because your body will become more efficient.
Anyway, a few years ago I went from fat belly in June (hanging over my pants) to ripped abs in August. I also dropped close to 30 lbs while building toned muscle.
Its hard to start out, but none of this is very tough once you get into the flow of doing it every day. Just stick with an aerobic activity that you enjoy. Mine's cycling and trail running.
Good luck.

Pinch the skin on your waistline, near your belly button or sides (the ‘love handles’). Can you grab skin more than 3/4 inch? That is a measure of whether you really have excess fat, or whether your weight is muscle.
You can’t choose where your body gets fat or loses fat, you just have to control your exercise, eating and metabolism. If you have never been active before, your body doesn't have much muscle. That means any excess weight is fat. Even if you're thin, that extra fat can add up to extra flab on the tummy.
Exercise adds muscle, which burns fat all day long. Start slow, but work up to 30 minutes a day, 4-5 days a week, at least walking, running or biking. You should notice your waistline shrinking a bit, your jeans a little more loose. If not, you need to check out your eating habits.
Keep a food diary. When you start, don't worry about counting fat or calories, just notice how much and what you are eating. Just seeing it written down can be a surprise - you don't always notice how much you really eat when you eat it, but you sure notice when your stomach sticks out in your bathing suit. Watching what you eat helps you stay focused and eat healthier.

Ab exercises tone the muscles but don't really flatten stomach. See the "quickest and fastest way to lose weight" under this site for that.
First, it is mostly not your fault that you need to lose weight. The way society has taught you to eat is responsible for making obesity (according to Atlantic Monthly magazine) the #1 health problem in the world replacing hunger and infectious disease. So you are a victim of this pandemic (epidemic) of obesity.
So you need to completely re-learn how to eat so you won't be a victim anymore. Learn everything that is on the site below. Do this and you can be thin. Do this not and you will have what you have now. You will learn about losing bodyfat, retained water and a 3rd thing. The reason there is so much info on this website is because I need to spend a lot of words to prove that many current ideas about losing weight are wrong.

I've lost 5 kilos in my first week. It's my 10th day and I have included salad with some protein (eg. egg/ lean chicken) as you suggested. After 4 years of trying, the fat is finally coming off. It truly feels like magic!
Get started today!

exercise. there's a special kind of exercise for the tummy. Sit-ups I think is not good. Do the opposite of sit-up. Instead of raising your upper part of the body, raise your legs instead. I think it's much safer. And have a proper diet.

start by drinking atleast 2 liters of water a day, this will help break down any fat cells (cellutite on legs too). stomach crunches would be the best way to go.
