If everybody is happy with this situation and history, then go for it! Make sure your friend is being honest, that he doesn't have any real feelings for this girl. And maybe you need to also think about what she wants from you! What are you expecting? Sex is one thing, but when feelings get involved, it can make things very difficult!

You say you are a bit reluctant to have sex with her even though she's a looker. There must be a reason for this, even if it isn't immediately apparent to you right now.

Some ideas as to the reluctance:

You realise, don't you, that she'll be comparing you to your friend in the bedroom, and that may be making you feel uncomfortable (not suggesting you are worse than him - just that you know the girl is going to be making notes in her head and it is going to be weird knowing that is going on, that she is comparing you and him in this way).

Also, your friend's attitude towards her suggests that, in his eyes, she's not worth much. This has cheapened her in your eyes, or, at least has made you question her value.
If you are the kind of man who likes to be a bit more serious about the women you sleep with, despite her looks, you would feel as if you are having sex with someone of little worth. This lowers you, in your mind, and and also, perhaps in your friend's. It's as if he is saying, 'She's not good enough for me, but you go for it anyway'.

Also, she slept with him first and has told you upfront. It must feel like you are second best. Or perhaps you don't want to be another guy on some list you suspect she may have, particularly as she is now approaching you.

Finally, your friend may be bluffing about not caring. It is one thing to say it doesn't matter, to cover his pride, and quite another to deal with the actual outcome.

That reluctance is there in you for a reason. Perhaps it would be better to heed it. Feelings of reluctance are normally a warning sign.
Ultimately, though, it's your decision.

could it be that you might think she will compare you with your friend or the fact that you want a bit more than sex but don't want to admit it

To be honest she's a ho are you really prepared to catch something off her? your friend may not be ok with it, as a friend you should not even think about, that's your friend whats more important? just think about it.
