With a really nice letter - it helps to NEVER burn your bridges.

Dear Sir,

Thank you very much for offering me the (name the position or job title). After careful consideration, I regret that I must decline your offer. Although you were most encouraging in outlining future advancement possibilities within your Company, I have decided to accepted another opportunity.

I enjoyed meeting you and the rest of your team. You have been most kind and gracious throughout the interview process, and I only wish that circumstances allowed me to accept your offer. With best wishes for your continued success.

Sincerely yours,

Another good paragraph instead of the last one could be:

Thanks again for taking the time to meet with me and for the generous employment offer. I am impressed by your company's goals, mission and commitment to quality and service, and wish you and your colleagues much continued success. I hope that we meet again in the future.

1st you need to make sure you're going to get the other job. Don't leave a job when you don't have a guarantteed job. This is your life. Be happy do what benifits yOU because trust me if a company's best interest meant to leave you they would!:) GOod luck!

tell them in a nice way ..you snooze...you lose. Just tell them thank you for their consideration but another company you were also in approached you first and made you an offer it was too difficult to refuse.

Today the same thing happen to me, and I told them, "Thank you but I'm not interested anymore, but thanks for the offer." Plain and simple and they were ok with it. : )
