I doubt you can get a legal code if the xp is counterfeit, however you might try getting in touch with windows technical support at the Microsoft site and they might be able to help

XP codes can only be used twice before they will not let you install again.
The only exception to this rule are people that have a Microsoft Select agreement which allows them to install XP as many times as they like, as long as they purchase more licenses as they need more.
If you need a code, your going to have to prove to MIcrosoft that you own the original software by showing the hallogram on the front of the license book or something like that.
Go to microsoft.com/technet, and get the phone number to call.

If you have a legal code don't worry about it. You can call MS and they will walk you through the process of authenticating your copy...this has happened before and is not unusual.
