If the board of directors of a corporation need to discuss business between regular board meetings, a notification has to go to all boardmembers as to the time and date and location of the meeting.
The laws regulating corporations have many requirements for meetings and agendae.
A Board Called Meeting is not a scheduled meeting required for specific business, but rather a meeting in which one board member can request the Board Chairman to convene a meeting to discuss urgent business without waiting for the next scheduled board meeting.
