Can ROMs other than PD be legal? If so, what is required for a ROM to be legal? Owning the game, etc? Thanks.?

Can downloading a ROM be legal? For instance, is it legal to download a ROM if you already own an authentic copy of the game, or if the game is no-longer being made? There is way too much contradicting info on the net, and its been really confusing for me. I know PD ROMs are legal, but can non-PDs be legal too?
