I use a program called Sound Forge which is now distributed by Sony Media (http://www.sonymediasoftware.com/Products/ShowProduct.asp?PID=961)
It has the features you mentioned plus much, much more. However, it's not a cheap software bundle

Cool Edit pro is the Best ever. I use it to record my padnas while they freestyle then come up with great stuff

There are many out there that can do this, I'd try audacity. It's available at http://audacity.sourceforge.net/. It does what you need in addition to many other things.
