The maim differences are as follows:
One has a Core 2 Duo 2.3 GHz, 677 FSB & 256MB NVidia 7400 Turbocache video card.
The other has Core 2 Duo 2.4 GHz, 800FSB & Intel Graphics Media Accelerator X3100 with 358 MB DVMT (Dynamic Video Memory Technology)
Both have 4GB of ram.
Please give reasons..thanks

I think the second one has a graphics card which is an onboard shared memory type.

depends what you want it for the first option has the better gaming graphics card however the later is the better proccesor to add to other answer the first one has dedicated graphics therefore better than the later shared graphics

If you are going to use this for video, graphics or gaming, I recommend the Core 2 Duo 2.4 GHz, 800FSB & Intel Graphics Media Accelerator X3100 with 358 MB DVMT (Dynamic Video Memory Technology)
I have the Intel accelerator and it made a big difference. The DVMT is mostly marketing hype.... The processor speeds on both are high. You won't be able to really tell the difference as a user.
So, if you are going to use it for gaming or graphics, I recommend the latter based on my personal experience with Intel.

Is there a signaficant price difference between the 2 and what are you looking for ?Are you looking for most preformance.If so the second one its not by a huge factor but the graphics card is has more ram memory the front serial buss its better and the processor speed beats the other one by .1 which isnt a huge difference.But preformance the second one defently.

The specs on both of these computers are good. One LARGER question, though, is what are the BRANDS of the Laptops?
Different companies have different levels and quality of support, different warranty options, and the product quality can vary somewhat between the different manufacturers.
Also, It would be beneficial it you were to specify what you will be using the laptop for. The intended use of the product is vitally important in determining which one to purchase.
The specs on the second laptop are a bit better, but again, intended use and brand are VERY important considerations.

Go for upgradability. Get the one that has more USB ports, more card slots, and one which visually appeals to you. Good luck.

Make sure they come with with plenty of recovery tools. I've got a recovery tool on my desktop on my Packard Bell laptop....its sweet
