If you could see one of those ceilings just before they were spray-painted black you would know immediatly.
The places to which you refer are usually NOT new buildings but are retrofit, which means the electric cables, heating and air-conditioning duct-work are all jammed around the original wooden beams plus any new steel beams which had to be added for re-enforement.
The result is that those ceilings are one awful mess of stuff, which theoretically should be covered with a new ceiling. But that would lower the ceiling for patrons and make the place look like a cave.
So instead they just spray it flat (not shiny) black and that puts the ceiling into a non-visual oblivion.
And it works. Next time you go to a play in some community theatre look purposely at the ceiling. It's wonderful what they can cover up with flat black, especially when the rest of the theatre or club has nice bright lights.

Before the no smoking rules came into effect, the black ceilings took away the stains that cigarette smoke left on the ceiling. How do I know? I own 2 restaurants and used to own a nite club.

Why are there? If you will notice that the clubs and restaurants that have black ceilings usually have unfinished ceilings. It is cheaper to paint them black than to install a suspended tile ceiling.

It creates an openness and doesn't reflect light that would show smoke and water stains, dirty rooms and carpets and other imperfections. Restaurant and clubs receive an abundance of people traffic that wears on a a building.

To tone down the lighting and make it more cozy feeling. But, I have noticed a few have their ductwork and piping going over the ceiling and when it's all black nobody notices I guess?

because then you dont have to plan to paint the ceilings after the smokers and the dust settles there and bars in bright lights look and smell dirty so cover it up and keep the lighting low
