I think your question is, would Cobra venom kill a crocodile? I don't know if it would have the same effect and effectiveness on a reptile as it has on a mamal. Not to mention, can the fangs get through the croc's skin?
Here are the scenarios I see:
1) Croc gets in the first shot at Cobra and bites it in half. Croc wins.
2) Coba bites Croc. Then Croc bites Cobra in half. Later, When the venom kicks in, croc dies. A tie.
So, either it is a draw, or the Croc wins, so I vote "Crocodile" Final Anwer!

A crocodile, the chance of it being poisoned is actualy remote, it's hide is too thick for external attacks and most of the poison would be digested to an extremely small concentration, crocs don't seem to die from eating poisonous fish.
Unless it was a huge King cobra genetically engineered in a covert lab......

no one, because the crocodile will die because of the cobra's venom while the cobra will likely die by being eaten by the crocodile while the venom is not yet in motion.
