It depends on which definition of "neocolonialism" you're willing to accept. For me, the largest difference is colonialism was overt compared to the covert nature of neocolonialism.
Mother countries, such as Britain during the 17th and 18th centuries, made no apologies for their pillaging. However, neocolonialist garner support by using nationalism. There efforts are under the guise of aid and mutual economic development. The best example would be Sub-Saharan Africa. We do very little for the poorest people in the world, because they have little to offer in return; however, we'll come to the aid of Kuwait, or manage the Palestine conflict. I wonder if we're motivated by our huge respect for human life? Neocolonialism is centered around the geopolitical policies of the core states (nation-states) in an effort to best manipulate the peripheral states.

Neocolonialism is when the colonialists pretend that they are not colonialists. In other words, the neocolony's leadership, economic policies,and social system are subject to approval by the neocolonialist, and the neocolonialist bases his military there, but the neocolony is not shown in an atlas, for instance, as part of a "Neocolonialist's Empire".
