Windows 9x isn't much more than a GUI (graphical user interface) on top of the old MS-DOS. The 9x iterations are based on the old MS-DOS, which when forced to do the things that those versions of Windows forced, was not very stable.
XP is based on the NT platform, which is much better suited to multi-tasking and other windows-centric operations. That's the main difference. You could also mention the HDD structure shifted from FAT32 to NTFS, once again, for stability.
Then there are the GUI and security updates, increased user friendliness, a streamlined updating system, and multimedia peripheral integration.
If the question was asked wondering if an upgrade is necessary at all, I say yes. But at this point, you might as well get Vista. Running out of date software is begging for your computer to crash itself.

Windows XP is first consumer-grade Microsoft OS that is NT-based; previously NT-based OS is for business-grade. 32-bit thru and thru.
9x are older DOS-based; 16-bit as a basis, with a 32-bit subsystem.
