try running in safemode, then try shutdown...drivers hanging up at shutdown can cause this , esp. networking drivers..ive had this happen before...also Windows creates the shutdown command, so a corrupt file could cause it too, as well as a defective motherboard..but try the other things first...Check Asus's website also...

I agree with Cirric as this is not normal. Do what he says and check for malware or virus. If you have XP you can try this to shutdown quicker. May help but you have nothing to lose.
Open the Registry Editor click on the Start button on your taskbar, then click on Run and type "regedit" and click on OK to start the regedit utility.
Expand HKEY_LOCAL_MACHINE\SYSTEM\CurrentControlSet\Control

Create a new DWORD value, or modify the existing value, named "WaitToKillServiceTimeout" and set it to "3000".

The changes you made will be in effect after you reboot your PC

Hi. This is not normal. Everything should shutdown. Not sure what happened but you should check for malware. Personally I like WindowsCare. http://www.download.com/Advanced-WindowsCare-Personal/3000-2086-10407614.html
