Pros:
You owe less money
You can stop studying with as much intensity
Some majors don't have a Ph.D available
If one is available, it's not necessarily at your current university, so you might have to move out-of-state

Cons:
If there is a Ph.D available, you won't have as much control over your career as you would if you got your Ph.D
You probably won't make as much money
There are a lot of interesting people in your field that you won't get to meet
