It would be a difficult battle. I think the ref. would be knocked out and Shawn would hit the Sweet Chin Music, Bret Hart would make a sudden appearance in attempt to cost Shawn the match, but Steve Austin would intervene. The referee starts to rouse himself, as does the rock. Michaels waits on the rock, but Triple H runs down with the sledge hammer. Hunter bypasses Shawn and whacks Rock with the hammer. Michaels goes for the pin. Referee calls for the bell, awarding the match to the Rock via DQ.

It would never happen even if The Rock was still in WWE because The Rock hates HBK.To answer your question though i think HBK would of won because he is more of a wrestler.
