you also need to check your state's laws about "foreign" corporations doing business in your state. Many states require such out of state corps, including LLCs, to file an annual report and pay an annual fee, as well as have a registered agent within the state [so, if necessary, it can be sued].

After you discover these details, you may want to rethink the idea of incorporating your LLC elsewhere just to save on fees.

I wouldn't necessarily go for the cheapest state, but rather the most business friendly states--currently Delaware and Nevada, who tend to rule favorably toward businesses.

Remember that there is usually a fee for being a foreign corporation (i.e. doing business in CT but registered in NV), running a couple of hundred dollars a year.

One major thing to remember: operate the business separate from your personal life. If a court sees that you used your business as an extension of your personal life (i.e. you didn't keep finances separate, etc), you lose the limited liability protection, which means you can be personally held liable for business issues.

Utah for example...

Im sure all states do. You just go to the dept or corporations.

It says name? You type it in. The only thing you have to worry about other then name is business. Type in *any legal business within Utah or the US.*

It works for most states that allow LLCs.

It should take you about 3 minutes. Give you your corporate papers and cost 32 bucks if you do it in Utah.
