The Champions League is the most prestigious.
The CL is, as the name tells, the competition between the teams that were champions the season before, in their country. For example: Real Madrid for Spain, Arsenal for the UK, Anderlecht for Belgium ...
In some cases, depending of the country and the number of participating teams in a country, there can be more teams from one country that play in the CL without being champion of that particular country, for example Barcelona (runner up in Spain), Chelsea and Man United (runners up in the UK) ...
Sometimes they have to play qualifying matches in order to earn their ticket to the CL.
Now, the UEFA cup is less prestigious but also is an important international competition between teams that won the National Cup or ended 3rd in their national competition.
After the group phase in the CL (going on now), the 3rd ranked team of a group, after the six matches, is automatically qualified to play in the UEFA Cup (They can still play against other European Teams here, but in the 'less prestigious' UEFA Cup), while the first two ranked teams will go on in the CL. The 4th and last ranked team after 6 matches goes home without anything ...
Note: The Champions League is often referred to as the European Cup 1, whilst the UEFA Cup is referred to as the European Cup 2

The CL of course, it is where all of Europes big guns play like Madrid, Man United, Arsenal, Barcelona etc. The CL also generates a lot more money than the Uefa Cup, the winner in the CL makes lik 40 million euros for winning it. The Uefa cup only has the small teams and the mid size clubs from europes top leagues while the Champions League as it implies has the 1st place from the top leagues and those who finish close.

As noted in previous answers, Champion's League is the more prestigious. For every "association" in Europe that has a "professional" league, the champion qualifies for some stage of the Champion's League. (For some associations, 2nd, 3rd, and 4th placed teams also qualify for the Champion's League). The UEFA Cup gets the best of the teams in each league that did not qualify for the Champion's League.
The other difference has to do with the structure of the competition.
For the Champion's League, 16 teams (representing the defending champion and the top leagues) begin in the Group Phase. The other 16 slots in the Group Phase are filled by three "qualifying" rounds. The Group Phase is eight groups of four with each group played as a double round robin. The top two from each group make it to the knockout phase.
For the UEFA Cup, there are two "qualifying" rounds. The teams from the top leagues begin in the "First" Round of the competition proper. The group phase of the UEFA Cup occurs after the first round so no one begins in the group phase. The group phase is composed of 8 groups of five played as a single round robin. The top three from each group advance to a knockout phase of 32 teams (and yes that is only 24 teams making it to a 32 team phase -- see below for more).
The other thing besides the teams that begin in Champion's League and UEFA Cup that makes the Champion's League more prestigious is what happens to teams when they lose in the Champion's League. At two stages, teams that lose in the Champion's League get a second chance by entering the UEFA Cup. The first stage is the third qualifying round of the Champion's League. The sixteen teams that lose in this round enter the First Round of the UEFA Cup. The second stage is the group phase of the Champion's League. The eight teams that finish third in their group enter the knockout phase of the UEFA Cup (providing the last eight slots of the 32 in that knockout competition).

only champions and runners up are in the champions league hence the name
uefa cup is just another way to make money in footie
