NTFs is a journaled file system that allows fast index of all the neccessary information. It contains a security model , which allows different access rights based upon a user id's. it also allows larger drive formats, it doesn't have a limit at 138 gig.
(the whole 4 gig limit, is the limit of 32 bit OS, that's a different story)

NTFS contains more security and does not have the 4 GB file size limitation that Fat32 has.

FAT32 wastes more space and is not very security friendly, where as the NTFS is the exact opposite e.g. file encryption even if data is transferred to other drives/usb flash stick

FAT32 is an archaic architecture; it has capabilities for minute drives (by today's standard) and has no support for drivers over 3.7Gb. NTFS drives are conventional. Only use FAT32 is you're trying for legacy support on a really, really old laptop/desktop.

if an fat32 system gets messed up you swear loudly and reformat, if an ntfs system gets messed up you swear under your breath and try to fix it.
