Generally the city attorney deals with legal matters specific to the city. If some one sues the city for liability or discrimination the city attorney handles it. If the city has its own statutes this person would prosecute offenders.
Generally a district attorney prosecutes for or defends the state, county or federal government and their laws. This is why now most city police departments enforce county or state laws so that the burden of prosecution rests on the state or county.
In most mid and small size cities the city attorney works on only law suits, contracts, and labor issues for the city and no criminal procedures.

The city attorney handles the matters stated in that State's statute, usually it is the representation of the city in misdemeanor matters, claims against the city, municipal ordinance matters, city council matters, etc..
The District Attorney's office handles the matters stated in the State's statute, usually felony and misdemeanor matters and other matters specifically reserved for prosecution by the state such as condemnation matters.
The key difference:
The District Attorney represents the STATE's interest.
The City Attorney represents a particular CITY's interest.

The city attorney works for the city and does not prosecute criminal cases. He is paid by the city.
The district attorney works for, and is paid by, the county. He prosecutes criminal cases for the state where the crime occurred.
