Hugo's Cellar if your Downtown area its in the 4 Queens is wonderful. OMG the steak is awesome. My husband is a meat lover!!!
Their service was wonderful and the downtown area is nice because you can go out to see the light show after wards.
If your on or near the strip the Rio has a nice restaurant. Buzio's that I've been twice that was very nice. The service was also very good and I recommend them.

Why dine on the Strip? If you want romantic stay away from the Strip. The food tends to be over priced, and service lacks more often than not. I should know, I serve in a restaurant in a Strip casino.
I have 2 suggestions for you
Marche Bacchus
This is a French restaurant in Desert Shores. There is outdoor seating on the lake. The landscaping is beautiful, the atmosphere is intimate, service is stellar. Every meal I have had there has been amazing. Every bottle of wine we have shared has been perfect. If you go there, ask for Allison to serve you, she does a great job.
Rosemary's ( Summerlin location, not the Rio)
New American cuisine, developed wine selection, white table cloths, and a fabulous atmosphere. This restaurant is a locals favorite. It is established, romantic, and yummy!
Both choices would be a night and a meal to remember.

Stratosphere, top restaraunt in the Tower. Just like the Seattle Space Needle. Reservations required.

Try Aj's Steakhouse at Hard Rock. It's interior has a romantic feel to it, dimly lit w/candles at each table. The food and serive are fantastic. I was there a few months ago w/my boyfriend. We're looking to go back for our anniversary.

I have to agree with the Hugo's Cellar answer. It's phenominal! You definately won't be disappointed with this restaurant. We went there for our anniversary, and found that it was worth every dime we spent. You even get complimentary chocolate dipped strawberries if you so choose.

The restaurant on the top of the Eiffel Tower (Paris Hotel & Casino) is very elegant and has a black tie dress code.
