Fat and FAT32 are used primarilly in windows 3.1 95 98
Fat32 is still used in Windows ME,XP and others
NTFS is used in XP,ME Sever and NT
The main difference is the structure of the formatting and the ability to use security feature incorepated in the software for encrypting data on hard drives for better protection.
While FAT & FAT32 offer very little in the means of security
NTFS is used on Windows products like XP,SERVER 2000-2003 an up and NT Workstation because the security is so much better.
It provides for greatly increased security, file–by–file compression, quotas, and even encryption. It is the default file system for new installations of Windows XP.
FAT32
If you're running more than one operating system on a single computer you will definitely need to format some of your volumes as FAT. Any programs or data that need to be accessed by more than one operating system on that computer should be stored on a FAT16 or possibly FAT32 volume.

If you want a quicker answer, NTFS allows you to implement security that is found in Windows versions later than XP. THis is the main difference. Partition tables are also different.
