I want this for word processing, downloading music and movies and playing games. It is second hand, would it be good for upgrading for that is what i plan to do.
Computer:
Intel Pentium 4 3.2 GHZ
1.25 GB DDR 1 RAM
200GB Hard-Drive
Average graphics card (cant remember model)
Monitor:
17"
Keyboard
Mouse
Once i get enough money i want to get a new motherboard, 2gb DDR 2 RAM, Core 2 Quad proccessor, more hard drive, a better monitor and a better graphics card.
Does anyone see any flaws in my plan? Is it worth buying for my first computer?

I suggest you rather don't. Why not buying a brand new with 500$? Plus, you don't mention the mobo which is quite the most important part on a pc. The processor is not very fast either. Coz it's not core duo. Conclusion: Buy a new one that will be much easier to upgrade. Difference is only 200 bucks and it will be NEW!

I have been building PC's for sale since before Windows. Here is some free advice!
The software is just as important as the hardware. Make sure you are getting a legal copy of Windows complete with original install disks in case you have to re-install the operating system one day. Don't forget the drivers disk and motherboard manual so you can see what processors and memory are supported, where the jumper pins are located, etc. If they are missing make sure you can download them.
Don't buy it for upgrading if it is a Dell or HP or other non-compatible PC. If you know anything about computers, open it up and look to make sure the power supply as the standard size, see if there is room for more memory and hard drives.
Ask if the motherboard will support SATA drives and ePCI video cards. These two technologies are the greatest leap forward in computers for the last 10 years! Some motherboards can mix, i.e. supports 4 IDE drives and 4 SATA drives at the same time.
These are ideal conditions for a very upgradable machine, the one you describe is good enough for your requirements of word processing, downloading and playing 'some' games. I think you should buy it because it comes with everything except a printer, but I don't like you upgrade path.
It is too expensive, since you are replacing every important part, here is a better plan.
1 - Buy the $300 computer.
2 - In a few months upgrade the monitor, make sure it has d-sub and DVI-D connectors both.
3 - After a few months buy an Acer computer, look in the $400 to $500 range (no monitor) and it will come with new keyboard, mouse , speakers, Vista.
4 - Sell the old computer and monitor for $100 or $200.
Why Acer? It is the number 3 computer maker in the world, behind Dell and HP. The best thing is they use a heavy duty tool less PC case like the other guys, but they use standard PC compatible parts.
It would be much more expensive to replace all the parts in your old computer and throw them out. Go and see what it costs for your first upgrade. You would have to replace motherboard, processor, memory and video card all at once since they wont work with the older parts, and that can easily run you $400!

Seems decent, has a powerful enough processor, though the amount of RAM is a tad off ( as in a weird amount which could potentially hinder rather than help ), and do you mean DDR 400 PC 3200 RAM?
But just make sure the motherboard CAN handle those updates you want to do to it.

NOT a good plan because your upgrade path will almost junk everything except the hard drive. Better just focus on your new build.

it has a powerful processor good for gaming, a big hard drive, decent memory. its a good buy... go buy it then when you upgrade just sell your old board and processor.

My opiion is you wait for sometime & go for new PC. because hardly it will consume $80-100 more.
hen also you want to go for same then find out how much old it is.
