yes it will
it wont use thr 64 bit
but it will work plenty fast

vista and xp pro 64 bit is still lacking on support fir some hardware and soft ware so i havent upgraded yet

Yes, but it depends on what features you want. Quad core is not well supported by Windows yet.
If you want access to all 4 cores, wait for Vista to finish "User Beta testing".

TIP: Look into Linux.

It will work but you won't be able to use the processor to its full potential. To use all four cores you need vista. Also not all applications support quad core either so it will be a while until quad core can be fully utilised
