If a team cannot (or will not) field a team of nine players, it must forfeit the game.
MLB Rule 4.17:
A game shall be forfeited to the opposing team when a team is unable or refuses to place nine players on the field.
So... either they keep on going, or give it up.
This has never happened in MLB to my knowledge. The guess here is that the umpires would find some excuse to call or suspend the game before it got to that point.

They don't call the game until somebody wins, or some extenuating circumstance comes up, such as darkness, local laws, weather, etc. If they do, for some reason, call the game, it will become a suspended game under Rule 4.10. The game will be continued at a later time from the point at which it stopped. This also means that all players that had been unavailable via substitution will still be unavailable; suspending a game doesn't reset the roster.
So, if you're exhausted of bench players, you'd better find a way to work with what you have. Lack of bench players often happens in games much shorter than 40 innings (with the exception of pitchers). That late in the game, you'll probably be seeing pitchers pinch-hitting, position players pitching, weird things like that.
If the pitchers are dead tired, logic says the game won't last much longer anyway.
By the way, once the game starts, game stoppage is never up to the managers; the umpires have full control.

They wouldn't allow the game to go 40 innings today. By 4 AM EST, the game is delayed and will be resumed the following night.

No; MLB rules state that a regular season game cannot end in a tie... EVER. Now, lets say your scenario happens, regardless of its absurdity. That game would likely last for over 24 hours! In other words, they would call the game.... to be resumed the following day. Which has happened before. If all players are exhausted, then both managers can agree to postpone the game until the following day and pickup right where they left off... until a winner is decided.
Isn't baseball great?

The comissioner will call the game and appoint a winner of his choosing. He did that for the All Star Game a few years back. Yep, good old Bud.
