The 945 and 946 based motherboards are fine for your processor. The new ones even support Core2 Duo. They are also cheaper than P965 motherboards. The P965 boards support ddr2-800 and are great for overclocking the Core2 Duos.
Intel motherboards are stable and reliable boards but have minimal tweaking options. ASUS motherboards are more popular among enthusiasts because of the good quality plus better tweaking options. ASUS makes the motherboards of HP computers.

If you are looking for a future proof motherboard go with the Asus P5K3 Deluxe. This has the Intel P35 chipset. This is the most current Intel chipset around. It will accomidate the new 45nm CPU. So that means you can upgrade your CPU in the near future when Intel releases the processor. The price is around 289.99. Which is not steep considering it wont go out of date for a long time. It is Crossfire ready, and DDR3 capable. Go to http://www.tigerdirect.com/applications/SearchTools/item-details.asp?EdpNo=3109410&CatId=1533 and check it out.
