You give no details. What kind it is? How big is the HD? How much memory? What are you running now - Windows98, XP???
It is possible your notebook could be upgraded, maybe not.
WindowsXP and Vista have advisors which will examine your notebook and let you know if you can run them:
Windows XP Upgrade Advisor
Check your hard drive to see if it will tolerate WinXP
If your current version of Windows is eligible for upgrade to Windows XP, you can use Upgrade Advisor to make sure your hardware and software are compatible with Windows XP.
Note You may use Upgrade Advisor to check for upgrade eligibility and compatibility information for Windows XP Home Edition with the following exception: It is not possible to upgrade from Windows NT® 4.0 or Windows 2000 Professional to Windows XP Home Edition
Go to this link.
http://www.microsoft.com/windowsxp/home/upgrading/advisor.mspx
**********************************
Minimum:
233 MHz CPU *
64 MB of RAM (may limit performance and some features) *
1.5 GB of available hard disk space *
Super VGA (800 x 600) or higher-resolution video adapter and monitor
CD-ROM or DVD drive
Keyboard and Microsoft Mouse or compatible pointing device
**************************************
Run the Vista Advisor which will let you know if your computer meets Vista requirements. Download here:

Check the specs in your User's Guide. It will tell you how much memory the notebook will support. If the notebook is too out of date to be upgraded, you probably will have to sell it. I don't know of any stores that take notebooks in on trade.
