So i presume that they are both in good shape. It depends on some factors. How well were they maintained by the previous owners, such as was regular maintenance work done when needed and etc. Some Tyrannys are not meant to go over 100,000 before you have to get a rebuilt/new one.

Your question implies that you know it has these problems. If that's the case, and unless you're a collector (to the best of my knowledge, this Mercedes-Benz is not a collectible) or if you intend on using this for basic transportation, I can't imagine why you'd even think about buying it!
Even in good condition, it's a bear on gas mileage, and was given a terrible overall rating by various consumer's organizations!
But, if you're a Richie Rich or Trump Wanna-Be, and just gotta have your "toy", then be prepared to spend mucho dineros on repairs! If you're doing the head gasket, you've got to fix any rod, piston, etc, problems, especially if it has over 100,000 miles on it; not to mention that you should change the timing chain, too; and don't forget peripheral stuff like the gas filter, spark plugs, wires, etc, etc, etc. My guesstimate would be near the $3,500 mark. IMHO, this car ain't worth that!
