what does a "transmission running tired mean"?

Depends on the transmission and whether it's auto or manual. It could mean that it's slipping out of gears, or that it's having trouble going into certain gears. This will usually mean it needs to be rebuilt/replaced.

It means that some crooked mechanic decided you have money and he wants it.
