What about the difference between the use of the UCC and Restatements by the court... why chose one over the other in decision makeing?

Some form of the UCC has been adopted by most states...check your local jurisdiction.

If your asking whether courts have to follow the UCC in their decisions, the answer is maybe. They would only have to follow the UCC if that state has adopted the UCC into their state statutes. Going one step further than the other answer, there are also different versions (based on the date they were issued) of the UCC that states have adopted, so that if your looking at the most recent verision of the UCC many states will not have adopted it yet. Also, some states have even modified certain sections of the UCC in their statutes.

That being said, if a state has adopted the UCC verbatim, then yes the court would be required to follow the rules.

each state that 'follows' the UCC [Louisiana does not] has slightly different versions codified in its state laws.

AND, if you learn the UCC you'll have the general idea in 49 of 50 states. BUT, you consult an competent attorney to look out for the local variations that make all the difference.
