Toby had announced at the release of Spider Man 3 that he is not on board for a forth because he wants to be a dynamic actor that isn't known for just one role. Kirstin Dunst said she will return as long there is a script. As for a forth, its been announced already but I am not sure who the new Spider Man will be.

YES! There will be a Spider-Man 4! I believe Wizard Price Guide mentioned it is slated for 2010!
Can they top the last one? Sure! With all the huge money and writers involved, it is sure to be great! whether it is better is up to each persons individual taste!

Sequels almost always go downhill, especially when they change actors/actresses. I don't expect this to be any different in that regard. They will get my money at the theatre, but if it sucks, I won't buy/download it.
