Are you sure it's not the catalytic converter? If that's the case, then it's going bad. Either way, take the car to a mechanic if you think there's a problem. Never heard of exhaust overheating cause it's hot anyway.

Too much unburnt petrol is getting into you exhaust system.
The Catalytic Convertor in the exhaust system tries to burn unburnt fuel, generating lots of un-usable heat. This will eventually melt the CAT, which will cost a lot to replace.
This is probably due to the Lambda sensor in the exhaust system getting faulty... a common fault... only costs a few quid to fix.
The Lambda sensor tells the engine computer to weaken the petrol/air mixture to the engine, so as to prevent unburnt petrol getting into the exhaust in the first place.
Take you car for an emissions check.. it should fail horribly.

if your car is a 1993 onwards it would most definately have a CAT (caylytic converter), if so the main reason for your exhaust being too hot it's most likely that your oxygen sensors have packed in. the best way to tell is to take your car for a good run and then wipe your finger on the inside of the exhaust, and if you get a thick black sutty substance it means there are to many carbons burning and you should go and have the sensors replaced, if the sensors are fine check for a blockage in the fuel system.

What EXACTLY do you mean by overheating?
During the normal course of operation these things get bl@@dy HOT. So much so that the cat has a heat shield on ti to protect the car.
The closer to the engine you get, the hotter it will be.
BY the sound of it you don't have to worry, but if you are unsure then get it checked

this answer is completely different,possible if your engine burns oil,its possible that the oil deposits and sludge in the exhaust silencer boxes are glowing red hot inside it gets set off by bits of red hot carbon from the engine.

if the exhaust system is restricted it will get to hot. the catalytic convertor is the usual cause

What makes you think it is 'over' heating? they do get very hot you know? I would have thought you would see the temp gauge go up if the engine is over heating.
