I am going to add a 1GB kit to my PC. Meaning I will replace both my 256mb and 128mb clips. Will I have to re-install windows if i add the new memory?

Absolutely not. Make sure your MB accepts new memory capacity and type (either single piece or pair). Read MB manual.

No, just make sure you can run the new memory. Go here and click "scan my system" to be sure you can run the sticks you plan on putting in.
