Also, in addition to the ratings decline (as number 35 is not too bad, and wouldn't necessarily be a bar to renewal) was just the fact that the show was getting older.
As the show ages, salaries for the actors go up (hence the tinkering the Law & Order shows were doing to try to keep costs down to be renewed). At one point, Kelsey Grammer was the highest paid person on television, making $1.6 million dollars an episode. That's tough to absorb, especially in an ensemble cast in which others have to be paid.
Plus the actors get tired of the series grind and want to go on to fresh projects. Also, Kelsey Grammer was having a child via surrogate and Peri Gilpin was having twins, so their personal lives probably took some precedence. (Kelsey Grammer did a bunch of different projects, none involving straight acting on a show right after Frasier and said right after Frasier that he didn't see himself doing another show right away.)

Also, even if it had the ratings, the quality had gone down, and it didn't have as much critical support. Considering it was a critics' darling for so long, with a lot of Emmy support, that had to be a factor. Here's Matt Roush's take on the finale in which he says that the show should have ended creatively several years ago. (Maybe when you stopped watching?) and a reader commenting on how the quality of the last season was better than that of the few seasons before, with Matt agreeing.

Probably cause it ran it's course it had been on for quite awhile. Also it might have dropped down in ratings.
