Scud is actually an acronym that means "StratoCumulus Under Downdraft." Generally, a scud cloud is any cloud that is under a could base and not attached to that base. They can form under downdrafts when air is cooled by rain. They also form under updrafts as air rises, cools, and condenses before reaching the cloud base. So even though their definition is under downdraft, we call them under updrafts as well.

Scud clouds are clouds that are detached from the cloud above it and have their own way of moving, they look a like dark mass of black splotches that wander aimlessly. Sometimes they do their own rotation, making think to the observer they are threatening, but actually they are not.
