Pretty sure that one is true. Arthropoda includes shrimp, insects, spiders, and a whole bunch of others. Insecta is the largest division of invertabrates so it would make sense that the phylum with the largest division would be the largest phylum.
Edit: I did some research, and I AM right. Nemotodes are the most common phylum, but not the most numerous. My source for this is now listed below.

There are actually many more species of nematodes (roundworms). It was once said that if all other life on earth suddenly vanished, one could still find out where it stood by the shell of nematodes it left behind. Nematode species can be found in the strangest habitats on earth. One species was discovered which apparently only existed under the beer coasters in a British pub.
Like arthropods, nematodes have a chiton based shell. Because of their tiny size, this is more of a membrane and is flexable enough to bend. However, nematodes only have muscles which run down the length of their body. This is why they can only move from side to side and can not actually crawl like things such as earthworms. Like arthropods, nematodes engauge in sexual reproduction with internal fertilization of eggs and many give birth to live young.

absolutely true. The above poster is incorrect - there are aprox. 20k known species of nematodes (and they do not have a chitonous shell.. wierd that) , but over 1.2 million species of arthropods.
