What a difficult question to answer.
I guess, when I really think about it, the difference between a lady and a woman is quality. Being a woman only takes the right anatomy...
This may be an oversimplification, but I think that one thing that makes a lady, is her attempt to live her life with dignity and grace...even in the most difficult of situations.

A women can be come a lady with an etiquette educations, sophistication's life knowledge and finesse, and never be reversed to a simple women again.
In other hand a women can be all of the above, a lady, a mother, a sister, a aunt, an prostitute, a doctora etc...
where an lady can only be a lady...

A lady follows the rules of etiquette. She speaks with a moderate voice, is clean and well groomed, does not anger quickly. She helps others without complaining. She is kind and generous.
