You won't encounter any real problems, although the system may be slightly slow. I ran XP on a 333Mhz Celeron with 256 MB of RAM, and it only took about 30 seconds to boot, from the time BIOS handed over control to the hard drive.

If necessary, you can disable some unneeded networking services, and disable themes. This may yield a significant performance boost.

By the way, the computer I mentioned is still running XP fine. I just gave it to my sister.

I would install a second larger HDD (20-40GB depending on the current O.S.). Put in as much RAM as the mobo is rated for (256Mb). Running XP on it will still be darn slow even then. What is on there now, Windows ME, 95, 98, or 98se? And then, why change to XP? If 95 or 98se is on there, they were pretty good O.S.s, even though they aren't supported by Microsoft any longer. Consider a video expansion card for it, this model was notorious for using a lot of the onboard memory toward video. A video expansion card with about 128mb RAM should do fine, and not be too expensive. Remember, what Chuck gave you are the bare MINIMUMS recommended by Microsoft.

xp needs 512mb to run proficiently.
Honestly, have you ever thought of getting a newer computer? A reconditioned one is deffinately one way to go.

The answer is no. For two reasons, your processor is too slow and you do not have enough memory. Barb
