You start by solving the problems of getting the waste water, etc., out. If you are below the sewer line, you may have to pump it up. If the basement already has laundry drains, life may be much easier. You may have to build up the floor of the bathroom area to accomodate shower, bath, and toilet drains, or pound a hole in the floor.
If you don't want to have problems with inspectors from the buyer when you sell the house, get a permit and inspections of the work.

The first thing to determine is if you have a large enough drainage pipe under your floor. You need at least a 3" and some codes require 4". Speaking of codes, you need to check to see if you are required to hire a licensed plumber. Some cities allow homeowners to do their own work, but it still has to be inspected by the city, county or state, depending on where you live. This is going to be a very long answer, so check on those things first. If you are going to proceed, you may contact me through Yahoo for more suggestions. They have toilets that flush and pump the waste up now. You can get them at Home Depot or Lowes. Just connect them to your sewer lines on your 1st floor toilet. As for a shower you can connect to a floor drain.

You'll need to locate your main soil stack. Trench the concrete between that and where you want your bathroom. Install the floor piping, install the floor material, install the toilet, install the vanity, install the sink, walls, etc.
