The second one. It doesn't say who or what is running in the woods, so there is no subject to the sentence.

"Running in the woods" is the sentence fragment because it has no subject. Who is "running in the woods"? A sentence needs to have a subject and a verb. Someone or something needs to be doing an action or have an action done to it.
