At the time of the deal, the teams usually come up with a list of about 10 possible players who could be dealt in order to conclude the deal.

The only restrictions are that the deal must be completed in six months, and if the player is already in the majors, he must change leagues. That doesn't apply to minor leaguers. In effect, the Bucs can't deal a guy on their major-league roster because the deal was done between two NL teams. They have this rule to stop teams from trading back the same player after "borrowing" him.

Usually the player to be named later is named during the next offseason. They do the player to be named later in order to get a deal done by the trade deadline or by a certain time frame. More often than not the player to be named later is a minor league prospect. The teams go back to the bartgaining table after the season is over and decide collectively who it should be.

Neither team has that determined, but it would have to be a good faith thing.

They wouldn't say 'ok, you know that player to be named later, how about Jason Bay'.
They may agree on the relative skill level of the individual, Double A, not a blue chip or something like that, but it's a touch and feel sort of deal.

One funny story is when the Tigers were trying to catch the Jays for the AL East (I believe in 1987). The Cubs traded them a pitcher (Dipino perhaps) for a player to be named later and that player to be named later was Dipino.
Essentially, as it worked out, the Cubs lent a player to the Tigers.

After the world series the team that supposed to be giving a "player to be named" gives a list of minor leaguers to the other team and the other team chooses which player they want.
