what are the LEGAL IMPLICATIONS of opening a company with almost similar name of of a very well established company in UNITED STATES. are there any strict laws in United States which prohibits these kind of acts.
The nature of the products sold can be same or not?

Find another name and save yourself a whole lot of headache. The established company will sue your pants off for even closely resembling their name , product, or service.
