Motherboard upgrade could add new features/onboard devices and capability to upgrade to better processors and graphics card. But there may not be any immediate improvement if you would still be using your old processor and graphics card.

A higher rated power supply runs cooler, lasts longer and gives you plenty of elbow room for upgrades especially graphics card upgrade.

A Motherboard could make your FSB speed way more, increasing overclocking.
A Power Supply powers your computer, and if you ever need more watts, you got it.

If your motherboard has the same type of RAM (PC2, DDR whatnot), Processor (Socket 478, LGA 775), and all the components match. If they do, just move all the hardware to your new motherboard. If they don't, you'll have use more money to buy the hardware that matches up to your new motherboard.

I'd build a whole new system based around a Core2 processor, Intel full ATX motherboard with at least 4 SATA ports and with a pair of ATA133 connectors, with at least a 7200 RPM 300GB hard drive, 2 GiB RAM, nVidia 7600 or better OR ATI x1600 or better graphics, 400 to 500 watt power supply, and a nice thermaltake or antec case. then keep your compaq as a spare.

depending on what you are doing with this computer.
i looked at the specs for this model for normal use i would upgrade your ram to 1 gig and that will make a world of difference it would be the cheapest single thing you can do to speed up your computer/

if you are going to be a gamer it would cost the same to build a new system as to up grade your motherboard/cpu/powersupply /ram.
