A lot of times the seller of a business overestimates what it's worth. He wants to believe that it'd wonderful and will sell it for that price.

Why is he selling? Maybe he knows that they're going to lose a major customer or will soon lose key employees. It's risky.

Advantage: it's already established so it's far less work to build up a clientelle and hire employees.
