You can either us a cross over cable to connect directly to your laptop or you can use a hub to connect the two devices. Once thats done go in to the Xbox network settings and give it a static IP. Something that is 1 octect off of your laptop. This should allow you to ping the Xbox from the laptop. From here you just need to enable internet connection sharing on the laptop and it should work (in theory).

For more help on Internet Connection Sharing just go to help on your start menu and type ICS. This should show you haw to enable it on your laptops adaptor.
