the niners are on their way up cuz of their draft and the signing of key people to the positions they needed help with and the further maturing of their qb.

I think the niners because Frank Gore is ridiculous. He might be the best running back in the league not named Ladainian.
I don't completely trust Alex Smith as the QB but he was much much better last year than he was in his rookie year (then again how could he not be). Also the receivers are a little suspect but their TE Vernon Davis should have a great season.
The defense is decent and Patrick Willis was a great draft pick, probably the best LB in the draft (maybe Dave Harris for the Jets)
Also I love Mike Nolan. Hopefully he keeps wearing the suits. Old school
The Rams obviously still have a great offense and Marc Bulger is the most underrated QB in the league but that secondary is not very good although Tye Hill should help out a lot.
Still, any team with Bulger, Stephen Jackson, Torry Holt, and Isaac Bruce has a good chance to make the playoffs.
Drew Bennett and Dante Hall were also good pickups. Dante should be good for at least a couple return TD's and Bennett is a great number 3 WR
I honestly think they'll finish with very similar records but I say SF cuz I love Gore and Nolan
EDIT:
How the hell is Frank Gore overrated? Funny for a Rams fan to say that when in two games against the Rams last year he averaged 130 yards.
And I'm not a 49ers fan.

The Rams.
Although the 49ers are improving, I'd say they're about a year away from being a serious contender. The 49ers will come on the last half/last third of the season & turn some heads.
The Rams are getting older but they've got a couple more years left.
Two teams going in opposite directions by next season.

49ers are completely better than the rams. The 49ers are a very young team, compared to the st. louis rams. The rams, have old receivers such as torry holt and isaac bruce, who can easily become injured. The 49ers only have 4 players on their entire roster who is 32 or older. Also, the 49ers have Larry Allen and they restocked their offensive line. This means, Frank Gore will be better and so will Alex Smith. The 49ers also signed nate clements and drafted patrick willis from ole miss. Their defense is young, and will be pretty hard to beat. The rams defense is horrible. Frank Gore ran them over in both games, and they also lost adam archuleta. Not to mention, the 49ers have the best tightend in the league, vernon davis. The 49ers also snagged pro bowl reciever darrell jackson from the seatle seahawks, so the 49ers are gonna do pretty well this year.

Lots of people would disagree but the real team that will turn out on top will probably be the San Francisco 49ers because of their new and improved defense and their incredible draft. Although the rams have great offense this year adding Drew Bennett and improving Steven Jacksons game. The 49ers will be a better team because of frank gore's running and their improved quarterback Alex Smith...

The niners actually have a real chance to be a better team this year. I dont really know what they did in the draft but I DO know that the Ram's have addressed some big issues on the offense AND defense during the off season. If eveyone plays like their supposed to in St. Louis, you'll see them in the post-season for sure.

The Rams have an excellent offense and I shouldn't have to explain that. The defense isn't that bad with Adam Carriker, LaRoi Glover, Will Witherspoon, Pisa Tinoisamoa, Leonard Little, O.J. Atogwe, Tye Hill, and Brandon Chillar.
As for the Niners, everyone thinks they will be great because they vastly overpaid for Nate Clements (who is not a top 5 corner). Offensively, the loss of Norv Turner will hurt the production of Alex Smith and Frank Gore, plus the recievers aren't very good. Defensively, there isn't much special either.
Rams will take the division.

Well, sorry but I've got to play favorites because I'm a Rams fan. The Niners suck eternal, the end.
Seriously, though, how could you go wrong with Bulger, Jackson, Bruce and Holt with one of the best offensive linemen ever - Orlando Pace - protecting the QB? I don't think St. Louis will win the division - that'll be Arizona - but they won't finish behind the Niners (DEAD LAST!).
Gore - overrated! Smith - overrated! Any team stupid enough to run a 3-4 - just plain stupid!
