Because it is not shareware you can't just pass around a copy of XP from one guy to another.
They are giving you the opportunity to purchase Windows XP
Microsoft knows who has been assigned the software through the activation key. This way they can keep track of people that Pirate there software, And at point in some time if they feel the need to expand there kingdom they can prosecute 2 birds with 1 stone.
1st the user that loaned a friend the software, for not reading the terms of use when activating his software, and you for pirating and not paying for software.
I don't mean for this to come over as harsh, but you can go to jail for this stuff, it is bad ju-ju

There is no legal procedure that will circumvent the XP activation software. If you do not activate, XP will cease to function in 30 days. You will need to purchase your own copy of XP to get around this.

properly your going to need an activation key! Their are extra, erm, unlawful pointers on the thank you to get around it yet i will no longer shoot you there. yet different web content could help... Google will help you in case you tell it specific issues, like in case you used "serial" and "living house windows xp" ;)
